Terms of Service

Welcome to IndieDevShare ("IDS"), the professional home base for indie game development. IndieDevShare is owned and operated by Blackjax, LLC, a limited liability company ("we," "us," "our," or "Company").

These Terms of Service ("Terms") govern your access to and use of the IndieDevShare website located at indiedevshare.com, the IndieDevShare companion desktop launcher application, and all related services, features, content, and tools (collectively, the "Service" or "Platform").

By creating an account, accessing the Platform, downloading the companion launcher, or otherwise using any part of the Service, you agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not use the Service.

PLEASE READ THESE TERMS CAREFULLY. They contain important information about your legal rights and obligations, including limitations on our liability, a disclaimer of warranties, and a binding arbitration clause. If you have questions, contact us at support@indiedevshare.com before using the Service.

1. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Platform" means the IndieDevShare web application, companion desktop launcher, APIs, and all associated services.
  • "Game Creator" or "Developer" means any user who registers on the Platform for the purpose of publishing games, managing playtests, or building a studio presence.
  • "Player" means any user who registers on the Platform for the purpose of participating in playtests, providing feedback, and building a player reputation.
  • "Studio" means a developer organization created on the Platform, which may include one or more members with varying roles.
  • "Project" means an indie game or software title managed by a Studio on the Platform.
  • "Build" means a compiled or packaged version of a Project uploaded to the Platform for distribution to playtesters.
  • "Playtest" means a structured testing session organized by a Game Creator through which Players access a Build and provide feedback.
  • "Feedback" means written, structured, recorded, or otherwise submitted content provided by a Player in connection with a Playtest session.
  • "XP" means experience points earned by Players on the Platform through contributions, which contribute to a Player's reputation tier.
  • "Reputation" means a Player's standing on the Platform as reflected by their XP tier, badges, feedback quality scores, and developer endorsements.
  • "Legal Templates" means the library of sample legal document templates made available on the Platform, including but not limited to non-disclosure agreements, revenue-share agreements, and contractor agreements.
  • "Companion Launcher" means the IndieDevShare desktop application used to download Builds, launch Playtest sessions, and submit Feedback.
  • "User Content" means any content submitted, uploaded, posted, or transmitted by a user to the Platform, including but not limited to game builds, devlogs, feedback, profile content, and media assets.
  • "AI Features" means any artificial intelligence or machine learning-powered functionality on the Platform, including feedback quality scoring, playtest brief validation, player matching, and feedback synthesis.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age, you represent that you have obtained permission from a parent or legal guardian to use the Service and that your parent or guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

If you are accessing the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

2.2 Account Registration

To access most features of the Platform, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and updating it as necessary.

You may register as a Game Creator, a Player, or both. Your registration type determines your access to certain features of the Platform but does not restrict you from accessing features designated for the other type, subject to these Terms.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately at support@indiedevshare.com if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.

You may not share your account credentials, transfer your account to another person, or operate multiple accounts for the purpose of circumventing these Terms or Platform rules.

2.4 One Account Per Person

Each individual may maintain only one personal account on the Platform. Creating multiple accounts to circumvent suspensions, bans, reputation resets, or other enforcement actions is prohibited and may result in permanent termination of all associated accounts.

3. Studios, Projects, and Team Members

3.1 Studio Creation

Game Creators may create one or more Studios on the Platform. Each Studio may contain one or more Projects. The user who creates a Studio is designated as the initial Owner of that Studio and has full administrative authority over it, including the ability to add members, manage Projects, and access billing features.

3.2 Studio Membership Roles

Studios support the following membership roles:

  • Owner: Full control over the Studio, including billing, member management, and Studio deletion. A Studio must maintain at least one active Owner at all times. An Owner may not remove themselves as Owner unless at least one other active Owner exists on the Studio.
  • Admin: Can manage Projects, invite and remove Members, and manage Playtest sessions. Admins do not have access to billing features.
  • Member: Read access across Studio Projects. Can be assigned to specific Projects with additional permissions.

3.3 Project Contributors

A user must be a Studio Member before they can be assigned as a contributor to any Project within that Studio. Project-level roles include:

  • Lead: Full control over the Project, including build uploads, Playtest management, and contributor invitations.
  • Contributor: Can upload Builds, post devlogs, and assist in managing Playtests as granted by the Project Lead.
  • Viewer: Read-only access to Project content.

3.4 Invitations

Studio Owners and Admins may invite new members by registered IDS username or email address. Invitations sent to email addresses not associated with an existing account will generate a pending invite that activates upon account creation. Invitations expire after 14 days if not accepted.

3.5 Contributor Visibility

Studio and Project contributors may be listed publicly on the Platform. Studio Owners may control the public visibility of individual contributors on a per-Project basis. Contributors consent to their username and contribution history being displayed publicly on the Platform as part of their participation on any Project.

3.6 Leaving a Studio

A user may leave a Studio at any time, subject to the restriction on sole Owners described in Section 3.2. Upon leaving, the user loses access to Studio resources. Historical contributions (including shipped-game badges and public credits on launched Projects) are retained on the user's public profile unless removed by mutual agreement between the user and the Studio Owner.

4. Game Creator Terms

4.1 Content Ownership

You retain all intellectual property rights to the games, builds, artwork, music, code, and other content you upload to the Platform. By uploading content, you grant Blackjax, LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and display your content solely for the purpose of operating the Service and delivering it to authorized Players in connection with your Playtests.

This license does not permit us to sublicense, sell, or otherwise commercialize your game content outside the scope of the Service. We do not claim ownership of your games.

4.2 Build Uploads and Distribution

You are solely responsible for the content of any Builds you upload. By uploading a Build, you represent and warrant that:

  • You own or have the right to distribute the Build;
  • The Build does not contain malware, spyware, or any malicious code;
  • The Build does not infringe the intellectual property rights of any third party;
  • The Build complies with all applicable laws and regulations;
  • The Build does not contain content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.

We reserve the right to remove any Build at our discretion without prior notice if we believe it violates these Terms or poses a risk to users or the Platform.

4.3 Playtests

Game Creators are responsible for the content and structure of their Playtests. You agree to:

  • Provide accurate descriptions of the Playtest scope and objectives;
  • Not misrepresent the nature, content, or maturity of your game to Players;
  • Clearly disclose any content warnings relevant to the game (e.g., violence, mature themes, photosensitive content);
  • Honor access commitments made to Players who are accepted into a Playtest session;
  • Not use the Playtest system to collect personal data from Players beyond what is permitted under our Privacy Policy.

The AI Features on the Platform may evaluate your Playtest brief for quality prior to publication and suggest improvements. You retain the right to publish your Playtest after addressing or acknowledging AI suggestions. We do not guarantee the accuracy or completeness of AI-generated suggestions.

4.4 Feedback and AI Synthesis

Feedback submitted by Players through the Platform is provided for your use in connection with your game's development. You understand and agree that:

  • Feedback is provided by independent users and reflects their personal opinions;
  • We do not guarantee the accuracy, quality, or completeness of any Feedback;
  • AI-generated feedback summaries and insights are provided as convenience tools and may contain errors or omissions;
  • You are solely responsible for how you use or act upon Feedback received through the Platform;
  • Feedback does not constitute a work-for-hire arrangement and Players do not acquire any rights in your game by submitting Feedback.

4.5 Community Funding

Game Creators may enable the Platform's community funding feature to receive ongoing patronage from supporters. By enabling this feature, you agree to:

  • Provide accurate descriptions of what supporters receive in exchange for their support;
  • Not make fraudulent representations about your project or its progress;
  • Acknowledge that Blackjax, LLC takes a small percentage fee from each transaction, in addition to applicable payment processor fees, as disclosed at time of setup;
  • Comply with all applicable tax obligations arising from funds received through the Platform;
  • Not use the funding feature for any purpose unrelated to game development.

Blackjax, LLC is not a party to the funding arrangement between you and your supporters and is not responsible for disputes arising therefrom.

4.6 Legal Document Templates

The Platform provides a library of legal document templates as a convenience resource for indie developers. IMPORTANT DISCLAIMER: These templates are provided for informational purposes only. They are not a substitute for qualified legal advice. Blackjax, LLC is not a law firm and does not provide legal services. No attorney-client relationship is created by your use of these templates.

We make no representation that these templates are legally valid, enforceable, complete, or appropriate for your specific situation or jurisdiction. You are strongly encouraged to consult a licensed attorney before entering into any legally binding agreement. By downloading or using any template, you assume all risk and liability arising from its use.

Template generation is a pay-per-use feature. Fees are disclosed at the time of generation and are non-refundable once the document has been generated and made available for download.

5. Player Terms

5.1 Participation in Playtests

Players may apply for or be invited to participate in Playtests organized by Game Creators. By participating in a Playtest, you agree to:

  • Engage with the game in good faith and provide honest, thoughtful Feedback;
  • Follow any specific instructions or guidelines provided by the Game Creator for the Playtest;
  • Not share, distribute, stream, record, screenshot, or otherwise disclose any aspect of the game, Build, or Playtest content to any third party without the express written permission of the Game Creator;
  • Not reverse engineer, decompile, disassemble, or otherwise attempt to extract source code from any Build;
  • Not use the Companion Launcher or Platform to circumvent access controls or gain unauthorized access to Builds or features;
  • Report any bugs, security vulnerabilities, or content concerns to the Game Creator and, where appropriate, to us.

5.2 Feedback Submission

By submitting Feedback through the Platform, you grant Blackjax, LLC and the relevant Game Creator a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, display, reproduce, and incorporate your Feedback for the purpose of game development and Platform operations.

You acknowledge that Feedback may be evaluated by AI Features for quality scoring purposes. This evaluation affects your XP earnings as described in Section 5.3. You agree not to attempt to manipulate, game, or deceive AI evaluation systems.

Feedback must not contain: personal attacks on Game Creators or other users; discriminatory, hateful, or harassing content; spam or irrelevant content; or any material that violates these Terms or applicable law.

5.3 XP, Reputation, and Badges

The Platform's XP and reputation system is designed to recognize and reward meaningful contributions by Players. You understand and agree that:

  • XP is earned through actions including Playtest completion, Feedback submission, devlog engagement, community contributions, and referrals;
  • XP earnings are affected by AI-generated quality scores applied to your Feedback;
  • Blackjax, LLC reserves the right to adjust, recalculate, suspend, or reset XP and reputation scores at any time, with or without notice, including in response to policy violations, technical errors, or platform-wide recalibrations;
  • XP and reputation have no monetary value and cannot be transferred, sold, or exchanged for cash or other consideration;
  • Badges and endorsements on your profile reflect your historical contributions but are subject to removal if the associated content or conduct is found to violate these Terms;
  • Attempting to manipulate the XP system through fraudulent Feedback, coordinated inauthentic behavior, or any other deceptive means is a material violation of these Terms and may result in account termination.

5.4 Player Recruitment

High-reputation Players may be contacted by Game Creators for direct Playtest recruitment. Participation in any recruitment invitation is entirely voluntary. Being recruited does not create an employment, contractor, or agency relationship between you and the Game Creator or Blackjax, LLC.

Game Creators may search and filter the player pool by reputation tier and genre expertise using Platform tools. By maintaining a public profile on the Platform, you consent to being discoverable in these searches.

5.5 No Compensation

Participation as a Player, including providing Feedback, completing Playtests, and earning XP, does not entitle you to monetary compensation from Blackjax, LLC or from any Game Creator, unless a separate written compensation agreement has been entered into directly with the Game Creator outside of the Platform. Blackjax, LLC is not a party to any such external arrangements.

5.6 Confidentiality Obligations

Games on IndieDevShare are often in active development and may contain unreleased features, unreleased story content, proprietary mechanics, and other confidential information. By accessing any Build through the Platform, you agree to:

  • Treat all game content as strictly confidential unless the Game Creator has expressly designated it as public;
  • Not post, stream, share, or discuss the game's content on social media, forums, or any other public channel without explicit written permission from the Game Creator;
  • Execute any additional non-disclosure agreement required by the Game Creator as a condition of Playtest access, using the Platform's legal template system or external documentation as applicable.

Breach of confidentiality obligations may result in immediate account termination and may expose you to legal liability from the affected Game Creator.

6. Companion Launcher

6.1 License to Use

Subject to your compliance with these Terms, Blackjax, LLC grants you a limited, non-exclusive, non-transferable, revocable license to download and install the Companion Launcher on devices you own or control, solely for the purpose of accessing and participating in authorized Playtests on the Platform.

6.2 Data Collection by the Launcher

The Companion Launcher collects session data during Playtest sessions, including but not limited to: session start and end times, total play time, session recording data (where enabled), and feedback submission data. This data is transmitted to the Platform and made available to the relevant Game Creator. By using the Launcher, you consent to this data collection as described in our Privacy Policy.

6.3 Restrictions

You agree not to:

  • Modify, reverse engineer, decompile, or disassemble the Companion Launcher;
  • Use the Launcher to access Builds or content you are not authorized to access;
  • Attempt to intercept, modify, or tamper with data transmitted by the Launcher;
  • Distribute or sublicense the Launcher to third parties;
  • Use the Launcher for any purpose other than authorized Playtest participation.

6.4 Updates

We may release updates to the Companion Launcher from time to time. Some updates may be required to continue accessing the Platform. We are not liable for any issues arising from your failure to install required updates.

7. AI-Powered Features

7.1 Nature of AI Features

The Platform includes AI-powered features including feedback quality scoring, playtest brief validation, player-playtest matching, developer-player matching, feedback synthesis reports, devlog writing assistance, and playtest brief creation assistance. These features are designed to improve Platform quality and user experience.

7.2 AI Limitations and Disclaimers

You acknowledge that AI Features are probabilistic in nature and may produce inaccurate, incomplete, or inconsistent results. Specifically:

  • Feedback quality scores are estimates and may not perfectly reflect the actual usefulness of a given piece of Feedback;
  • Playtest brief suggestions are recommendations only and do not guarantee Playtest quality;
  • Player-matching recommendations are based on available data signals and may not result in optimal matches;
  • Feedback synthesis reports are automatically generated summaries and may omit, mischaracterize, or overrepresent individual pieces of Feedback;
  • AI-generated content (including devlog assistance) should be reviewed and edited by the user before publication.

We make no warranty regarding the accuracy, reliability, or fitness for purpose of any AI-generated output. You are solely responsible for decisions made based on AI Feature outputs.

7.3 AI Provider

AI Features are powered by third-party AI providers through an abstracted API layer. We reserve the right to change AI providers at any time without notice. Your data may be processed by third-party AI systems subject to their respective terms and privacy policies, as described in our Privacy Policy.

7.4 Premium AI Features

Certain AI Features are available only as paid unlocks, including AI-assisted playtest brief creation, advanced player matching, feedback synthesis reports, and devlog writing assistance. Core AI enforcement features (feedback quality scoring and brief validation) are available to all users as platform integrity infrastructure. Pricing for premium AI features is disclosed at the point of purchase and is subject to change.

8. Payments, Billing, and Refunds

8.1 Micro-Payment Features

Certain Platform features are available on a pay-per-use or one-time unlock basis, including but not limited to: legal document generation, additional build storage, additional concurrent Playtests, advanced player recruitment tools, discovery feed placement, and premium AI features. Fees for these features are displayed at the point of purchase.

8.2 Payment Processing

All payments are processed by third-party payment processors. By making a payment on the Platform, you agree to the terms of the applicable payment processor. We do not store your full payment card details. You are responsible for ensuring that your payment information is accurate and up to date.

8.3 Transaction Fees

Blackjax, LLC takes a percentage fee on funding transactions processed through the Platform's community funding feature, in addition to applicable payment processor fees. The applicable percentage is disclosed at the time you enable the funding feature and may be updated with 30 days' notice.

8.4 Refund Policy

All purchases on the Platform are generally non-refundable. Specifically:

  • Legal document generation fees are non-refundable once the document has been generated;
  • Storage and concurrent Playtest unlocks are non-refundable once activated;
  • Premium AI feature unlocks are non-refundable once the feature has been accessed;
  • Discovery feed placement fees are non-refundable once the boost period has commenced.

We may issue refunds at our sole discretion in cases of technical failure, duplicate charges, or other exceptional circumstances. To request a refund consideration, contact support@indiedevshare.com within 7 days of the transaction.

8.5 Taxes

You are responsible for any taxes applicable to your purchases or earnings on the Platform. We may be required to collect sales tax or VAT in certain jurisdictions. Game Creators receiving funding through the Platform are solely responsible for reporting and remitting any applicable income taxes.

9. User Content

9.1 Your Responsibility

You are solely responsible for all User Content you submit, upload, post, or transmit through the Platform. You represent and warrant that:

  • You own or have the necessary rights and permissions to submit the User Content;
  • Your User Content does not infringe any third-party intellectual property rights;
  • Your User Content does not violate any applicable law or regulation;
  • Your User Content is accurate and not misleading.

9.2 License to User Content

By submitting User Content to the Platform (excluding game Builds, which are governed by Section 4.1), you grant Blackjax, LLC a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute such User Content for the purpose of operating, improving, and promoting the Service. This license terminates when you delete the content or close your account, except where the content has been shared with others and they have not deleted it.

9.3 Prohibited Content

You agree not to upload, post, or transmit User Content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of another's privacy;
  • Is hateful or discriminatory based on race, ethnicity, gender, religion, sexual orientation, disability, or other protected characteristics;
  • Contains sexual content involving minors;
  • Constitutes spam, phishing, or other unsolicited commercial communications;
  • Contains malware, viruses, or other malicious code;
  • Infringes any third-party intellectual property rights;
  • Impersonates any person or entity;
  • Violates any applicable law or regulation.

9.4 Content Moderation

We reserve the right, but have no obligation, to monitor, review, edit, or remove any User Content at our sole discretion. We may use automated tools, including AI Features, to assist in content moderation. If you believe content on the Platform violates these Terms, please report it to support@indiedevshare.com.

10. Intellectual Property

10.1 Platform IP

The IndieDevShare name, logo, brand identity, platform design, source code, AI systems, features, and all associated intellectual property are owned by or licensed to Blackjax, LLC. Nothing in these Terms grants you any right to use our trademarks, service marks, trade names, or other brand elements without our prior written consent.

10.2 Feedback to Us

If you provide suggestions, ideas, or feedback about the Platform itself to Blackjax, LLC (as distinct from Playtest Feedback submitted to Game Creators), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such suggestions without any obligation to you. This does not affect your rights to your own User Content.

10.3 DMCA and Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe that content on the Platform infringes your copyright, please send a DMCA notice to support@indiedevshare.com with the following information: (1) a description of the copyrighted work; (2) identification of the infringing material and its location on the Platform; (3) your contact information; (4) a statement of good faith belief; (5) a statement under penalty of perjury that the information is accurate; and (6) your signature. Repeated infringement may result in account termination.

11. Third-Party Integrations

11.1 Discord Integration

The Platform offers optional integration with Discord. By connecting your Discord account or server to the Platform, you authorize us to access and sync certain information between Discord and IDS as described in our Privacy Policy. You are responsible for ensuring your use of the Discord integration complies with Discord's Terms of Service. We are not affiliated with Discord Inc. and are not responsible for Discord's services or policies.

11.2 External Storefront Links

Game Creators may link their IDS profiles to external storefronts including Steam, itch.io, and others. These links are provided for convenience. We are not affiliated with these platforms and are not responsible for transactions, content, or disputes that occur on external storefronts.

11.3 Third-Party Services Generally

The Platform may integrate with or link to third-party services including payment processors, analytics providers, AI model providers, and infrastructure services. Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party services.

12. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and share information about you, including data collected through the Companion Launcher. By using the Service, you consent to our data practices as described in the Privacy Policy.

We use Microsoft Clarity and Vercel Analytics to collect anonymized usage data for the purpose of improving the Platform. These tools may collect behavioral data such as mouse movements, clicks, and page navigation patterns. This data is not used to identify individual users.

13. Prohibited Conduct

In addition to the specific prohibitions elsewhere in these Terms, you agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to any part of the Platform or any other user's account;
  • Use automated tools (bots, scrapers, crawlers) to access or collect data from the Platform without our express written permission;
  • Probe, scan, or test the vulnerability of any Platform system or network;
  • Introduce any malware, virus, worm, or other malicious code to the Platform;
  • Interfere with or disrupt the integrity or performance of the Platform or its infrastructure;
  • Harass, threaten, intimidate, or harm other users;
  • Engage in coordinated inauthentic behavior, including the creation of fake reviews, fraudulent Feedback, or manufactured reputation;
  • Circumvent any access control, rate limiting, or other technical restriction on the Platform;
  • Use the Platform to transmit unsolicited commercial communications;
  • Misrepresent your identity or affiliation with any person or organization;
  • Use the Platform to collect personal information about other users without their consent.

14. Termination and Suspension

14.1 Termination by Us

We reserve the right to suspend, restrict, or permanently terminate your access to the Platform at any time, with or without notice, for any reason including but not limited to: violation of these Terms; harmful conduct toward other users; fraudulent or deceptive activity; legal requirements; or inactivity. Upon termination, your right to access the Platform ceases immediately.

14.2 Effect of Termination

Upon termination of your account: (a) your license to use the Platform and Companion Launcher is revoked; (b) you may no longer access your account or any content associated with it; (c) we may delete your account data in accordance with our data retention policies and applicable law; (d) any outstanding payment obligations survive termination; and (e) sections of these Terms that by their nature should survive will continue to apply.

14.3 Termination by You

You may close your account at any time by contacting us at support@indiedevshare.com. Account closure does not entitle you to refunds for any paid features. Studio Owners must transfer or assign Studio ownership before closing their account if the Studio has other active members.

15. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE.

AI FEATURES ARE PROVIDED WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR FITNESS FOR PURPOSE OF ANY AI-GENERATED OUTPUT.

LEGAL DOCUMENT TEMPLATES ARE PROVIDED WITHOUT WARRANTY OF LEGAL VALIDITY, ENFORCEABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE OR JURISDICTION.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLACKJAX, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, REPUTATION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless Blackjax, LLC and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or third-party rights; or (e) any dispute between you and another user of the Platform, including any Game Creator or Player.

18. Dispute Resolution and Arbitration

18.1 Informal Resolution

Before initiating any formal dispute, you agree to contact us at support@indiedevshare.com and attempt to resolve the dispute informally. We will make reasonable efforts to resolve the dispute within 30 days of receiving your notice.

18.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

18.3 Class Action Waiver

YOU AND BLACKJAX, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims.

18.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of intellectual property or other irreparable harm.

19. Governing Law and Jurisdiction

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles. To the extent that any claim is not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Missouri.

20. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting a notice on the Platform, sending an email to the address associated with your account, or both, at least 14 days before the changes take effect (or immediately for changes required by law). Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Service before the effective date of the changes and may close your account as described in Section 14.3.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Blackjax, LLC regarding your use of the Service and supersede all prior agreements and understandings.

21.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

21.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Blackjax, LLC.

21.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

21.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet outages, or third-party service failures.

21.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No person other than you and Blackjax, LLC shall have any right to enforce any provision of these Terms.

21.7 Headings

Section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
